The Company holds 66.80% Equity of Bilt Graphic Papers Ltd . |
|
No effect has been given in these results in respect of the Scheme of Arrangement and Amalgamation under Section 391-394 of the Companies Act,1956 between the Company and its subsidiary Bilt Graphic Papers Ltd. (BGPL) pending approval of various stakeholders and other related Statutory Authorities.
The Hon'ble High Court of Bombay (Nagpur Bench) has given directions to hold meetings of the Shareholders and the Creditors of the Company on 26th February,2003 and the Hon'ble High Court of Delhi has given directions to BGPL to hold meetings of its Creditors on 6th February,2003. |

The Company has filed application with Government of Orissa seeking approval for closure of its Unit Choudwar ,with effect from 31st March,2003 , whose operations had been suspended on 19th September,2002. |
|
Auditors' observed in the last audited accounts of the Company for the year ending 30th June,2002 about non-availability of the books of account / records relating to its Unit Bengal Ingot which is under closure and for non-provision of duty, incidental expenses etc. in respect of Plant & Machinery lying at Port/warehouse. The Management is of the opinion that the same is not going to materially affect the Profit & Loss of the Company. |

Figures of the Previous quarter / half year have been recast to make them comparable to the Current quarter / half year. EPS (Basic and Diluted) for the quarter and half year ended 31st December,2002 is based on the enhanced Equity in line with the year end working and the figures for the quarter and half year ended 31st December,2001 have been recast to make them comparable. |

In line with the Company's strategy of focussing on the Paper business , the Board of Directors have cleared a proposal to dispose off the Investments held by Janpath Investments & Holdings Ltd. (JIHL) , a wholly owned subsidiary . It was also decided to bring the real estate of JIHL into the Company for its disposal. |
|
These results were reviewed by the Audit Committee and approved by the Board of Directors in its meeting held on 29th January,2003. |
